ARA PET PRODUCT WHOLESALER’S REGULATIONS

Regulations for purchases made at the ARA Pet Product Wholesaler outside the B2B ordering system.

1. GENERAL PROVISIONS

1.1. These Regulations specify the terms and conditions of sales made in the ARA Pet Product Wholesaler (Hurtownia Zoologiczna ARA sp. z o.o.), hereinafter referred to as  ‘the Seller’ or ‘ the Wholesaler’, outside the B2B ordering system, to the Buyer, hereinafter referred to as ‘the Client’ or ‘the Buyer’.

1.2. Sales shall only be made to entrepreneurs, as defined in article 431 of Polish Civil Code, operating in pet and zoological industry, i.e. especially, pet product shops, pet product wholesalers, grocery and garden shops with pet product departments and service companies connected with zoological and pet product industry, registered in the computer system of the Wholesaler, making purchases exclusively related to their business activity.

1.3. The registration referred to in point 1.2 of these Regulations, may be performed by filling in the registration form  placed on the Wholesaler’s website on the Become Our Client page, or personally in the Wholesaler’s business location by completing the paper registration form.

1.4. Making purchases by the Client at the Wholesaler is tantamount to accepting all provisions of these Regulations.  

2. DEFINITIONS

2.1. Business day – a day which is not a public holiday, except for Saturday.

2.2. Buyer/Client – an entrepreneur operating in pet product/zoological industry, i.e.  especially, pet shops, pet product wholesalers, grocery and garden shops with pet product/zoological departments and service companies connected with pet product/zoological industry.

2.3. Product/goods – movables being the subject of sales.

2.4. Non-standard product – a product appropriately marked in the B2B ordering system and so indicated by the Seller, for whom the cost of delivery is calculated individually by the Seller.

2.5. Regulations – these Regulations for purchases made in the ARA Pet Product Wholesaler outside the B2B ordering system.

2.6. Seller/Wholesaler - HURTOWNIA ZOOLOGICZNA ARA SP. Z O.O. (ARA PET PRODUCT WHOLESALER), ul. Jutrzenki 83B (street), 02-230 Warszawa (Warsaw), registered in the Register of Polish Companies (National Court Register) KRS no:  0000744027, (tax identification number) NIP: 5223134912,  (National Business Registry Number) no REGON:  381158680, mobile phone number: 608 396 777, phone number: 22 863 41 35, www.ara.waw.pl, e-mail address: ara@ara.waw.pl .

2.7. B2B ordering system- a computer system used by the Seller in order to sell, including placing orders by the Buyer via the Internet.

2.8. Cascade system of calculating discounts – The Seller allows to combine given discounts to the Client in such a way that the value of the next discount will be calculated from the basic price after applying the first discount.

3. ORDERS

3.1. Purchases are made by the Client on the basis of the order which may be placed with the Seller by the Client personally or by persons who are authorized by them, at the ARA Pet Product Wholesaler’s business location or through the B2B ordering system.

3.2. In case of purchases made by persons authorized by the Client, the Seller may, for verification of the authorization and for the protection of the interest of the Client, ask the authorized person to present their identification document.  

3.3. The legal effects of the purchase made by the Client’s authorized person are binding for the Client.  

3.4. Orders are processed on business days and on Saturdays during working hours of the Wholesaler.

3.5. Information about products offered for sale and their current prices is included in the B2B ordering system, as well as it is made available to the Buyer in the Wholesaler’s business location through the price readers located in designated places.

3.6. An order should include catalogue names of products and indicate ordered number of items, suitable for products (items, kilograms, packages, etc.).

3.7. Orders are realized by the Seller according to the order of their placement, taking into account orders placed in the B2B ordering system.

3.8. The Seller reserves the right to refuse to process whole or part of the order in the event of stock depletion of ordered products as well as in the event of reservation of the particular product in the B2B ordering system.

3.9. The Seller reserves the right to refuse to process the order without giving a reason.

3.10. A sales contract is concluded at the moment of issuing a sales document (VAT invoice) including collected products.

3.11. In case of personal collection of the order by the Client, the order will be completed at the earliest after 90 minutes from its placement. Personal collection of the goods should take place no later than within 72 hours from the time of its placement. 

3.12. In  case of shipping of the goods, the order completion takes place within 48 hours from the time of its placement, and in case of pallet shipments – within 72 hours.

3.13. Orders placed on Friday, Saturday or any other day considered as a public holiday,  are processed from the first business day from the following week.

3.14. An order with postponed delivery date (more than 3 days) will be processed only after making an advance payment. In case of lack of an advance payment, such orders will be cancelled.

3.15. In case of any payment arrears (delays), orders from such a Client will not be processed until the outstanding payment is repaid.

4. PRICE AND DELIVERY COST

4.1. Product prices are denominated in PLN (Polish currency) and include the VAT tax according to the applicable tax rate at the date of the invoice, subject to point 4.2. below.

4.2. Product prices do not include the following:

a. discounts given to the Client;

b. costs of delivery of products to the Client.

4.3. Delivery costs by the Seller’s own transport or via courier company within Poland is given on the ARA Pet Product Wholesaler’s website: Orders and Delivery.

4.4. For orders over 500 PLN net, the delivery is made at the expense of the Seller, although it does not apply to non-standard products, large-size, pallet or low-value shipments exceeding standard weight.

4.5. To avoid doubt, the delivery made at the expense of the Seller applies to a single shipment. If the order sent at the expense of the Seller will not be collected by the Client, re-shipment of the same order will be subject to the charge according to the rules described in these Regulations.  

4.6. In case of orders for non-standard products (including, among others: cat litter and sand for cats,  neutralizers, sand for birds and rodents, etc. , hay, litter, other bedding for rodents, birds and reptiles, etc. gravel and other aquarium bedding, and other products marked as non-standard products in our B2B ordering system), a charge for the delivery is set individually.

5. PAYMENTS AND DELIVERY

5.1. Payments for purchased products may be made in the following ways:

a. with cash or by credit card upon personal collection of the goods by the Buyer;

b. cash on delivery in case of the delivery by the Seller’s own transport or via a courier company;

c. transfer before delivery on the basis of the document provided by the Wholesaler’s employee (prepayment).

5.2. A delivery of ordered products takes place in the following ways:

a. by the Buyer’s personal collection in the Seller’s business location during Wholesaler’s working hours;

b. to the Client’s address indicated when placing an order:

   i. Seller’s own transport - in Warsaw, and in chosen neighboring locations according to the schedule of delivery routes available on the Website, on page: Orders and Delivery;

   ii. via a courier company – in other regions of Poland,

however, in each case, the Seller reserves the right to choose the form of delivery for economic reasons.

5.3. Conditions of international shipments are arranged individually.

5.4. A delivery of fragile or vulnerable/damageable products (including, among others: cages for birds and rodents, lightbulbs, fluorescent lamps for aquariums and terrariums, aquariums and other glass products, as well as other products marked in our B2B ordering system as non-standard products), is not processed via a courier company unless the Client wishes so and under their full responsibility after submitting a statement. The statement is available below. The statement is available for download on the website www.ara.waw.pl, the Client needs to sign it and send it to us via email to: ara@ara.waw.pl or sign it in the Seller’s business location when placing an order. The statement will be binding throughout the whole cooperation period. The delivery fee will be charged as for a non-standard product.

The content of the statement:

I declare that I have been informed about the conditions concerning  

shipment of fragile or vulnerable/damageable products. I accept the only option of

shipment of the above-mentioned goods exclusively under my full responsibility and at my own risk. In the event of damage in the transport of the above-mentioned goods, I will not be filing any compensatory claims to and against the ARA Pet Product Wholesaler (‘Hurtownia Zoologiczna ARA sp. z o.o.’).

6. DELIVERY AND PRODUCT COMPLAINTS

6.1. Goods purchased from the Seller are not refundable or exchangeable.

6.2. The Seller is only responsible for the physical defects of products which existed at the time of the contract conclusion, providing they were reported according to point 6.4.

6.3. In the case of goods which were granted a guarantee by the producer or importer, the Seller shall bear no responsibility for the warranty and then the guarantor is competent to consider a complaint.

6.4. Any quality and quantity complaints of delivered products should be made in the following ways:

a. in case of personal collection – at the time of collection of the order from the Wholesaler;

b. in case of delivery of goods – up to 48 hours from the time of the delivery of the order by completing a complaint form available on the Seller’s website: Complaint Form, tab: ‘For Client.

6.5. The Buyer is obliged to deliver the defective goods at their expense with the proof of purchase of the end Client: in case of goods with the warranty – to the Wholesaler, and in the case of goods which have been granted a guarantee – to the Guarantor’s business location (producer, importer).

6.6. The Seller investigates the complaint under the warranty within 14 business days from the date of delivery of the defective product to the Wholesaler’s business location.

6.7. The rules for complaints concerning deliveries processed by a courier company:

a. the Buyer is obliged each time to examine the condition of delivered parcel in the presence of the  courier company’s employee who delivers the parcel;

b. if  the Buyer has any doubts concerning the condition of goods in the parcel, as well as, the parcel itself, the Buyer is obliged to make a damage report in the presence of an employee of the courier company (the courier has a form of the above-mentioned report), as well as photographic documentation;

c. a damage report and correctly completed complaint form as well as photographic documentation are the basis of the complaint regarding the goods damaged in transport;

d. the lack of a damage report, as well as acknowledgement of parcel receipt which does not state any damage to the parcel, efficiently makes it impossible to file any complaint claims for the damage in transport.

7. DISCLAIMER

7.1. Presentation of products on the Seller's website does not constitute an offer within the meaning of the provisions of the Polish Civil Code.

7.2. Photos of products and the description of the contents of the packaging are for reference only and may differ from the actual conditions.

7.3. Actual product information is included on the packaging of the particular product and the instruction included in the packaging.

8. PERSONAL DATA PROTECTION

8.1. The administrator of personal data processed with regard to the purchases made is the ARA PET PRODUCT WHOLESALER (HURTOWNIA ZOOLOGICZNA ARA sp. z o.o.) with its registered office in Warsaw, ul. Jutrzenki 83B (street), 02-230 Warsaw, e-mail address: ara@ara.waw.pl  (hereinafter referred to as ‘the Wholesaler’).

8.2. Processing of Clients’ personal data is necessary to:

a. perform the sales contract, including:

- enable sending the information related to the operation of the Wholesaler and the concluded sales contracts by electronic means of communication and full use of the Wholesaler’s offer;

-  contact the Client, including the purposes related to providing services and selling goods, as part of the operation activity of the Wholesaler;

- perform the contract as part of the Wholesaler’s operation;

- process a complaint by the Wholesaler;

b. fulfill duties resulting from applicable legal regulations, including tax and accounting purposes;

c. conduct marketing activities, including direct marketing of own services and goods of the Wholesaler or services or goods of third parties;

d. contact the Client, including for purposes related to permitted marketing activities, via available communication channels, in cases related to them upon the Client’s consent - by e-mail and telephone;

e. debt collection; conducting court, arbitration and mediation proceedings;

f. store data for archiving purposes, and ensure accountability (showing compliance by the Wholesaler with its obligations under the law);

g. in the event of the Client’s consent  - in order to save data in cookies files, collect data from websites.

8.3. Providing personal data is necessary for the conclusion and performance of the contract for the sales of goods. In the absence of personal data, it will not be possible to conclude a contract.

8.4. If required by applicable law, the Administrator may require providing other necessary data, for example for accounting or tax reasons.

8.5. The Client has the following rights with respect to the processing of personal data resulting from applicable laws:

the right to access personal data, the right to request rectification and removal of data, to limit its processing, to its transfer, the right not to be subject to automated decision-making, including profiling, and the right to object to the processing of personal data;

the right to file a complaint regarding the processing of personal data by the Wholesaler to the supervisory organ (address: Personal Data Protection Office (Urząd Ochrony Danych Osobowych), 2 Stawki Street, 00-193 Warsaw).

8.6. Clients' personal data is made available purely and simply to the entities providing IT, accounting, auditing and courier services to the Wholesaler. In situations when it is necessary and on the basis of relevant legal provisions, the Client's personal data will be given to public authorities.

8.7. Personal data is stored by the Administrator for the period of:

the application of the contract concluded with the Client, providing services to the Client,

after concluding cooperation for the purposes of:

- pursuing claims with regard to the performance of the contract, fulfillment of obligations under the law, including, in particular, tax, accounting, archiving obligations for a maximum of 10 years from the date of the termination of the contract;

- accountability, i.e. evidence of compliance with the data processing provisions for the period during which the Wholesaler is required to maintain data or documents containing personal data to document the fulfillment of legal requirements and enable control of their fulfillment by public authorities.

8.8. The administrator processes personal data automatically (including, through profiling) in a way that does not cause any legal effects to the Client. The profiling of personal data by the Wholesaler consists in the processing of data (also in an automated way) by using it to assess certain information about the Client, in particular, to analyze or forecast personal preferences and interests.

9. FINAL PROVISIONS

9.1. Any disputes between the Client and the Seller will be first settled amicably.

9.2. The court having jurisdiction for disputes related to the purchases made at the Wholesaler is the court having jurisdiction for the business location of the Seller.

9.3. Any changes to these Regulations shall be placed by the Seller in a place generally available in the business location of the Wholesaler.

9.4. In the event of matters not regulated by these Regulations, the provisions of the Polish Civil Code and other relevant laws shall apply.

9.5. These Regulations shall enter into force on 01/09/2018.

 

 

Regulations of the B2B Platform operated by the ARA Pet Product Wholesaler

1. GENERAL PROVISIONS

1.1. These Regulations specify the terms and conditions of using the B2B  Platform operated by  the ARA Pet Product Wholesaler (Hurtownia Zoologiczna ARA sp. z o.o.), hereinafter referred to as ‘the Seller’ or ‘the Wholesaler’, at the online address: http://zam.ara.waw.pl, and the conditions of sales made by the Seller to the Buyer, hereinafter interchangeably referred to as ‘the Client’, using the B2B ordering system.

1.2. These Regulations are regulations within the meaning of art. 8 para. 1 point 1 of the Act of 18 July 2002 on the provision of electronically supplied services (i.e. Polish Journal of Laws of 2017, item 1219).

1.3. Sales through the B2B ordering system is only made to entrepreneurs, as defined in art. 431 of the Polish Civil Code, operating in the pet and zoological industry, i.e. in particular: pet product shops, pet product wholesalers, grocery and garden shops with pet product departments and service companies related to the zoological and pet product industry, registered in the Wholesaler’s B2B ordering system, making purchases exclusively related to their business activity.

1.4. Using the B2B ordering system by the Client is tantamount to acceptance of all provisions of the Regulations.

1.5. The Client using the B2B ordering system shall declare that:

a. the data contained in the registration form is truthful;

b. has read the Regulations and accepts all its provisions;

2. DEFINITIONS

2.1. Business day – a day which is not a public holiday, except for Saturday.

2.2. Registration form - a form placed by the Seller on the page Become Our Client, which the entrepreneur wishing to become a Wholesaler’s Client fills in and sends in order to register in the database of Clients.

2.3. Order form - a form available in the B2B ordering system, which allows the Client to place an order by selecting products, choosing the terms of payment and delivery.

2.4. Complaint form - a form available on the Seller’s website, on page Filing a Complaint and in the B2B ordering system that allows the Buyer to submit a complaint.

2.5. Account - the Client's account in the B2B ordering system, created during the process of the registration completed by the Client, on which the data provided by the Client and the information about orders placed by the Client, VAT invoices and settlements is collected.

2.6. Shopping Cart - a software component in the B2B ordering system that allows to determine and modify products ordered by the Buyer.

2.7. Buyer/Client – an entrepreneur operating in pet product/zoological industry, i.e.  especially, pet shops, pet product wholesalers, grocery and garden shops with pet product/zoological departments and service companies connected with pet product/zoological industry.

2.8. Product/goods – available in  the B2B ordering system, movables being the subject of sales.

2.9. Non-standard product – a product appropriately marked in the B2B ordering system and so indicated by the Seller, for whom the cost of delivery is calculated individually by the Seller.

2.10.  Regulations – these Regulations of the B2B Platform.

2.11. Seller/Wholesaler - HURTOWNIA ZOOLOGICZNA ARA SP. Z O.O. (ARA PET PRODUCT WHOLESALER), ul. Jutrzenki 83B (street), 02-230 Warszawa (Warsaw), registered in the Register of Polish Companies (National Court Register) KRS no:  0000744027, (tax identification number) NIP: 5223134912,  (National Business Registry Number) no REGON:  381158680, mobile phone number: 608 396 777, phone number: 22 863 41 35, www.ara.waw.pl, e-mail address: ara@ara.waw.pl .

2.12. B2B ordering system- a computer system used by the Seller in order to sell, including placing orders by the Buyer via the Internet.

2.13. Cascade system of calculating discounts – The Seller allows to combine given discounts to the Client in such a way that the value of the next discount will be calculated from the basic price after applying the first discount.

2.14. Sales contract – an agreement of sales of products, concluded between the Buyer and the Seller via the B2B ordering system.

2.15. Order - Buyer's declaration of intent submitted via the order form, directly aiming to conclude the sales contract.

3. NECESSARY TECHNICAL REQUIREMENTS

3.1. In order to use the B2B ordering system, it is necessary for the Client’s computer system to meet the following minimum technical requirements:

a. electronic mail account (e-mail);

b. a computer or other device with the Internet access and Internet browser;

c. Cookies service enabled.

4. REGISTRATION AND USING THE B2B ORDERING SYSTEM

4.1. In order to use the B2B Platform and place orders in the B2B ordering system, the Client shall register for the B2B Platform.

4.2. Registration takes place by filling out the registration form on the website of the Seller, on page Become Our Client.

4.3. The condition of registration for the Client is to consent on the content of the Regulations and provide personal data marked as mandatory.

4.4. After completing the registration form, an individual login and password necessary to use the B2B ordering system will be sent to the provided e-mail address.

4.5. By using the B2B ordering system, the Client is, in particular, obliged to:

a. not providing and not forwarding the content prohibited by law;

b. using the B2B Platform in a way that does not interfere with its functioning, in particular, through the use of specific software or devices;

c. using the B2B Platform in a manner consistent with the provisions of applicable law, provisions of the Regulations, as well as general principles of using the Internet.

5. ORDERS PROCESSING

5.1. Orders are processed on business days.

5.2. Placing an order by the Client in the B2B ordering system takes place by completing the order form, which is placed on the Seller's website.

5.3. Completing the order form takes place through subsequent technical activities based on the displayed tips and information available on the Seller’s B2B Platform.

5.4. Submission of a completed order form in the B2B ordering system by the Client is tantamount to the declaration of will to conclude a sales contract, in accordance with these Regulations.

5.5. The legal effects of the purchase made by the Client’s authorized person are binding for the Client.  

5.6. Orders are realized by the Seller according to the order of their placement in the B2B ordering system.

5.7. The Seller reserves the right to refuse to process whole or part of the order in the event of stock depletion of ordered products during the completion of the order.

5.8. The Seller reserves the right to refuse to process the order without giving a reason.

5.9. A sales contract is concluded at the moment of issuing a sales document (VAT invoice) including collected goods. The sales document is available on the Client's account within 2 hours of its issue.

5.10. Orders for personal collection or shipment are prepared within 48 hours from the moment of placing the order, and in the case of pallet shipments - within 72 hours. Orders placed on Friday, Saturday or any other day considered as a public holiday are carried out from the beginning of the following week.

5.11. An order with postponed delivery date (more than 3 days) will be processed only after making an advance payment. In case of lack of an advance payment, such orders will be cancelled.

5.12. In case of any payment arrears (delays), orders from such a Client will not be processed until the outstanding payment is repaid.

8.6. The Buyer is obliged to deliver the defective goods at their expense with the proof of purchase of the end Client: in case of goods with the warranty – to the Wholesaler, and in the case of goods which have been granted a guarantee – to the Guarantor’s business location (producer, importer).

10. PERSONAL DATA PROTECTION

10.1. The administrator of personal data processed with regard to the purchases made is the ARA PET PRODUCT WHOLESALER (HURTOWNIA ZOOLOGICZNA ARA sp. z o.o.) with its registered office in Warsaw, ul. Jutrzenki 83B (street), 02-230 Warsaw, e-mail address: ara@ara.waw.pl  (hereinafter referred to as ‘Wholesaler’). Processing of Clients’ personal data is necessary to:

a. perform the sales contract, including:

- enable sending the information related to the operation of the Wholesaler and the concluded sales contracts by electronic means of communication and full use of the Wholesaler’s offer;

-  contact the Client, including the purposes related to providing services and selling goods, as part of the operation activity of the Wholesaler;

- perform the contract as part of the Wholesaler’s operation;

- process a complaint by the Wholesaler;

b. fulfill duties resulting from applicable legal regulations, including tax and accounting purposes;

c. conduct marketing activities, including direct marketing of own services and goods of the Wholesaler or services or goods of third parties;

d. contact the Client, including for purposes related to permitted marketing activities, via available communication channels, in cases related to them upon the Client’s consent - by e-mail and telephone;

e. debt collection; conducting court, arbitration and mediation proceedings;

f. store data for archiving purposes, and ensure accountability (showing compliance by the Wholesaler with its obligations under the law);

g. in the event of Client’s consent  - in order to save data in cookies files, collect data from websites.

10.2. Providing personal data is necessary for the conclusion and performance of the contract for the sales of goods. In the absence of personal data, it will not be possible to conclude a contract.

10.3. If required by applicable law, the Administrator may require providing other necessary data, for example for accounting or tax reasons.

10.4. The Client has the following rights with respect to the processing of personal data resulting from applicable laws:

a. the right to access personal data, the right to request rectification and removal of data, to limit its processing, to its transfer, the right not to be subject to automated decision-making, including profiling, and the right to object to the processing of personal data;

b. the right to file a complaint regarding the processing of personal data by the Wholesaler to the supervisory organ (address: Personal Data Protection Office (Urząd Ochrony Danych Osobowych), 2 Stawki Street, 00-193 Warsaw).

10.5. Clients' personal data is made available purely and simply to the entities providing IT, accounting, auditing and courier services to the Wholesaler. In situation when it is necessary and on the basis of relevant legal provisions, the Client's personal data will be given to public authorities.

10.6. Personal data is stored by the Administrator for the period of:

a. the application of the contract concluded with the Client, providing services to the Client,

b. after concluding cooperation for the purposes of:

- pursuing claims with regard to the performance of the contract, fulfillment of obligations under the law, including, in particular, tax, accounting, archiving obligations for a maximum of 10 years from the date of termination of the contract;

- accountability, i.e. evidence of compliance with the data processing provisions for the period during which the Wholesaler is required to maintain data or documents containing personal data to document the fulfillment of legal requirements and enable control of their fulfillment by public authorities.

10.7. The administrator processes personal data automatically (including, through profiling) in a way that does not cause any legal effects to the Client. The profiling of personal data by the Wholesaler consists in the processing of data (also in an automated way) by using it to assess certain information about the Client, in particular, to analyze or forecast personal preferences and interests.

11. FINAL PROVISIONS

11.1. Any disputes between the Client and the Seller will be first settled amicably.

11.2. The court having jurisdiction for disputes related to using the B2B Platform is the court having jurisdiction for the business location of the Seller.

11.3. Any changes to these Regulations shall be posted by the Seller on their website.

11.4. In matters not regulated by these Regulations, the provisions of the Polish Civil Code, the Act on provision of electronic services and other relevant laws shall apply.

11.5. These Regulations shall enter into force on 01/09/2018 and replace in full the Regulations of 01.01.2018.
